What the biggest acquisitions of the last two years teach small business owners

HUL bought Minimalist, ITC bought 24 Mantra and Prasuma, Reliance and Disney formed JioStar. What buyers actually paid for, and how to build those things into your own business.

You may never sell your business. But looking at what large companies chose to buy over the last two years is one of the clearest ways to see what makes any business valuable. The pattern is consistent, and most of it has nothing to do with size.

The deals

  • Hindustan Unilever and Minimalist (2025). In January 2025 HUL announced it would buy a 90.5% stake in the skincare brand Minimalist at a valuation of ₹2,955 crore, about US$350 million. A D2C brand built largely online, bought by one of India's biggest consumer companies.
  • ITC's run of D2C deals (2025). ITC agreed to buy Prasuma and its D2C business Meatigo in February 2025, and completed the ₹472.5 crore acquisition of 24 Mantra Organic's parent in June 2025. ITC now groups these with Yoga Bar and others as a digital-first portfolio.
  • Reliance and Disney form JioStar (2024). In November 2024 the two merged their Indian media businesses in a deal worth about US$8.5 billion, combining TV channels and streaming under one roof.
  • Zomato becomes Eternal (2025). In February 2025 Zomato renamed its parent company Eternal, after its quick-commerce business Blinkit grew larger than food delivery. An acquisition from 2022 ended up reshaping the whole group.

Lesson 1: a brand people trust is the asset

HUL already had factories, distribution and skincare products. What it could not build quickly was a brand that a young, ingredient-aware customer already trusted. ITC's deals follow the same logic in food. Large companies can make products. They pay a premium for trust that already exists.

For you: your brand is not your logo. It is what customers believe about you before they buy. Clear positioning, consistent messaging and real proof are what turn a product into a brand someone would pay for.

Lesson 2: buyers pay for customers who come back

Reliance and Disney combined to bring subscribers, viewers and advertisers under one roof. Blinkit's value grew because people kept ordering, week after week. Repeat customers are worth far more than one-time spikes, because they make future revenue predictable.

For you: look at how many of last quarter's customers bought again. Then invest in the follow-up, the WhatsApp list, the subscription or the service plan that brings them back.

Lesson 3: a business that runs without its founder

No buyer pays full value for a business that stops when the owner takes a week off. Clean data, documented processes and a sales system that works without one person in every conversation make a business transferable. They also make it far less exhausting to run.

For you: if every enquiry, quote and decision runs through you, that is the first thing to fix. It is also the most common problem we find in a business audit.

Lesson 4: be the clear leader of something specific

Minimalist did not try to be every kind of beauty brand. It stood for one idea, transparent, ingredient-led skincare, and that clarity is what a buyer could not copy. 24 Mantra stood for organic staples. Being known for one thing beats being one of many in everything.

For you: finish this sentence in under ten words: "We are the best choice for ___ who need ___." If you cannot, your marketing is working harder than it should.

Build it as if someone will buy it

The habits that make a business attractive to a buyer are the same ones that make it pleasant and profitable to own: a trusted brand, loyal customers, systems that run without you, and a clear position. Whether or not you ever sell, build as though someone might.

Large companies can build products. They pay a premium for trust that already exists.
